Terms and Conditions

1.1. The domain name https://www.asbalifecare.com/ are owned and operated by Asba Life Care Private Limited, a company duly incorporated under the provisions of the Companies Act, having its registered address at Ground Floor, 1446, Sarwat, Muzaffarnagar, 251001 ("asbalifecare.com" or "We" or "Us" or "Our" or "Company").

1.2. Your access to or use of the Platform, transactions conducted on the Platform, and use of the services hosted or managed remotely through the Platform are governed by this Agreement. This Agreement constitutes a legally binding agreement between You ("You" or "Your" or "Customer" or "User") and asbalifecare.com, a fully licensed pharmacy and an intermediary platform.

1.3. For the purpose of this Agreement, the term 'You'/ 'User' shall mean any natural or legal person who has downloaded and installed the App and provided registration data while registering on the App or by simply visiting the Website by entering the domain name in any internet browser. Any services provided by the Platform which do not require registration do not absolve You of the contractual relationship established by this Agreement.

1.4. Wherever the context requires, the term 'Doctor/registered medical practitioner' shall mean any person permitted to practice medicine by the National Medical Commission (NMC) or any relevant state medical council, duly authorized by the government, who will be verified and authenticated by Us.

1.5. The Platform is an internet-based platform that provides/facilitates the online purchase of pharmaceutical products (prescription and over-the-counter), nutraceuticals, health and wellness products, and may facilitate access to patient assistance programs and provide healthcare-related information ("Services").

1.6. By accessing, viewing, downloading, browsing, or in any way transacting on the Platform, or availing any Services or information created, collected, compiled, or submitted to asbalifecare.com, You signify Your irrevocable and unconditional agreement to be bound by this Agreement. Further, by impliedly or expressly accepting this Agreement, You also accept and agree to be bound by Our policies, including the Privacy Policy, Refund Policy, Return Policy, Cancellation Policy, and such other rules, guidelines, policies, terms, and conditions as are relevant under the applicable law(s) in India and other jurisdictions for the purposes of accessing, browsing, or transacting on the Platform, or availing any of the Services, and such rules, guidelines, policies, terms, and conditions shall be deemed to be incorporated into, and considered as part and parcel of this Agreement. However, if You navigate away from the Platform to a third-party website, you may be subject to alternative terms and conditions of use and privacy policy, as may be specified on such website. In such event, the terms and conditions of use and privacy policy applicable to that website will govern Your use of that website.

1.7. asbalifecare.com acts as an intermediary platform that enables users to purchase pharmaceutical and other healthcare products from Us and potentially from third-party pharmacies, distributors, and manufacturers. Where third-party service providers are involved, asbalifecare.com's responsibility is limited to facilitating the transaction, and asbalifecare.com is not responsible for the products or services provided by such third parties, except as expressly stated in this Agreement.

1.8. You understand that the App downloaded and/or the Website You use is owned by Us. We may automatically upgrade the Platform at any time, and this Agreement shall apply to such upgrades as well without any limitations. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Agreement.

2.1. To use certain features of the Platform, avail Services, or transact on the Platform, You must set up/register an account with asbalifecare.com ("asbalifecare.com Account" or "Account") in accordance with the procedure established by asbalifecare.com.

2.2. As part of the registration process, asbalifecare.com may collect the following information from You, and all of Your registration information collected in this regard is protected by our Privacy Policy:

• Name
• User ID
• Email address
• Billing/Shipping Address (including country and ZIP/ postal code)
• Gender
• Age
• Phone number
• Password chosen by User
• Valid financial information
• Prescription details (if applicable)
• Health-related information (as volunteered or required for Services)
• Other details as You may volunteer or as required for specific Services

2.3. Registration on or use/access of the Platform is only available to natural persons who are at least 18 years of age and capable of entering into a legally binding contract under applicable Indian law and who are not 'incompetent to contract' under the Indian Contract Act, 1872. Persons including minors, un-discharged insolvents, etc., are not eligible to register on, or use/access the Platform. By registering, accessing, or using the Platform, You accept the terms of this Agreement and represent and warrant to asbalifecare.com that You are competent to contract under the Indian Contract Act, 1872, have attained the age of majority, are of sound mental capacity, and have the right, authority, and capacity to use the Platform and agree to and abide by this Agreement.

2.4. A registered User ID can only be utilized by the person whose details have been provided, and asbalifecare.com does not permit multiple persons to share a single login/registration User ID. However, a registered user who is also a parent or legal guardian of a person incompetent to contract (such as minors or persons with unsound mind) may access and use the Platform for the purposes of procuring the Services on behalf of such persons, provided such parent or legal guardian is competent under the Indian Contract Act, 1872, and has the authority to act on behalf of the incompetent person. Organizations, companies, and businesses may not become registered members on the Platform or use the Platform through individual members.

2.5. You represent and warrant that the information You submit during registration is truthful and accurate and that You will maintain the accuracy of such information. You agree and acknowledge that You will:

• create only 1 (one) Account;
• provide accurate, truthful, current, and complete information when creating Your Account and in all Your dealings through the Platform;
• maintain and promptly update Your Account information;
• maintain the security of Your Account by not sharing Your password with others and restricting access to Your Account and Your computer or mobile device;
• promptly notify asbalifecare.com if You discover or otherwise suspect any security breaches relating to the Platform; and
• take responsibility for all the activities that occur under Your Account, regardless of whether such activities were authorized by You.

2.6. Your Account username and password are personal to you. You may not transfer your Account, and You will be responsible for all activities associated with your Account, even if unauthorized. asbalifecare.com will not be liable for any loss or damages as a result of your failure to maintain the confidentiality of your Account credentials.

2.7. By creating an Account, you provide your explicit consent to receive transactional and/or promotional communications from Us via email, telephone, SMS, WhatsApp. You can manage your communication preferences or opt-out of non-essential communications through your Account settings or by notifying us via email at support@asbalifecare.com. We will comply with applicable telemarketing regulations.

2.8. asbalifecare.com, at its sole discretion, reserves the right to temporarily or permanently suspend or terminate Accounts, and to bar users from using and accessing the Platform, at any time while asbalifecare.com investigates complaints or alleged violations of this Agreement or any Services, or if the Company has reasons to believe that the information You shared is inaccurate, or for any other reason as the Company may deem proper at any time. You acknowledge that the Company reserves the right to terminate Your Account without any prior notice and without assigning any reason.

2.9. You represent and warrant that You have read and understood this Agreement and agree that it shall be binding upon You and Your assigns, heirs, and personal representatives. If You are the parent/legal guardian/authorized person for the patient disclosed herein, you affirm that You are over the age of majority and have full authority to sign for and provide the above representations to asbalifecare.com and/or its affiliates on the patient's behalf. You may be required to provide proof of such authorization upon request.

3.1. Your personally identifiable information will be used in accordance with our Privacy Policy, which is an integral part of this Agreement. To understand our practices regarding the collection, use, and disclosure of Your personally identifiable information, please refer to our Privacy Policy available at [asbalifecare.com Privacy Policy], which also governs Your visit to the asbalifecare.com Platform.

3.2. We are committed to protecting the privacy of all information You provide and will use it carefully and sensibly in accordance with our Privacy Policy.

4.1. By using the Platform, it is deemed that You have provided your explicit and informed consent to receive calls, auto-dialed and/or pre-recorded messages or calls from Us at any time using the telephone number that has been provided by You for the use of this Platform, subject to the Privacy Policy and applicable telemarketing regulations. This includes contacting You through information received through other parties as well as contacting other parties through the information You provide to Us. By using this Platform, you who have placed orders with Us, or have only signed up, or submitted your personal details in any of our forms also consent to receive transactional and/or promotional emails/WhatsApp/SMSs from Us at any time We deem fit. This consent to be contacted is for purposes that include and are not limited to clarification calls, order updates, delivery information, customer support, and relevant marketing and promotional communications. You can manage your communication preferences or opt-out of non-essential communications through your Account settings or by notifying us via email at support@asbalifecare.com.

4.2. You may also be contacted by service providers with whom we have entered into a contract in furtherance of our rights, duties, and obligations under this Agreement and other agreements, contracts, and policies followed by us. Such contact will be made only in pursuance of the respective contracts, agreements, and/or policies.

4.3. The sharing of the information provided by You will be governed by the Privacy Policy. We will not give out Your contact information to third parties not connected with the Platform and the Services offered by it, and/or for any purpose not in furtherance of the activities and aims of the Company, except as outlined in the Privacy Policy or as required by law.

5.1. All your transactions are secure when You place an order online at asbalifecare.com. Your personal and payment information is encrypted using industry-standard encryption technologies, including Secure Sockets Layer (SSL) encryption, to ensure the privacy and security of Your data during transmission. While We employ reasonable security measures to protect Your information, please be aware that no method of transmission over the internet or method of electronic storage is completely secure, and We cannot guarantee absolute security.

6.1. asbalifecare.com, a fully licensed and regulated pharmacy, takes all precautions to strictly abide by the laws and regulations set forth in the dispensing of prescription medications. By placing an order for your prescription medicines, you acknowledge and accept the following terms regarding the purchase of any prescription medicines.

6.2. The drug information provided on the Platform is for informative purposes only and this Platform is not intended to provide diagnosis, treatment, or medical advice. We are not liable for any adverse effects or harm to You as a result of your reliance on the information on the Platform. Always consult with a qualified healthcare professional for diagnosis and treatment of any medical condition.

6.3. By using the Platform to order prescription medicines, you confirm that You are completely aware of the indications, contraindications, side effects, drug interactions, effects of missed dose or overdose of the medicines You order from Us and that You have consulted with a healthcare professional regarding the same. It is imperative to seek professional advice from your physician before purchasing or consuming any medicine from asbalifecare.com.

6.4. asbalifecare.com will not dispense any prescription medication without a valid prescription from a Doctor/registered medical practitioner.

6.5. To purchase any prescription products through the Platform, you are required to upload a clear and legible scanned copy or photograph of the valid prescription issued by a Doctor/registered medical practitioner. You hereby confirm that You will upload only valid and genuine prescription(s) issued by a Doctor/registered medical practitioner, and this prescription shall then be subject to scrutiny and approval by Our qualified pharmacists. The prescription must include the patient's name, the prescribed medication(s), dosage, frequency, duration of treatment, the doctor's name, registration number, signature, and date.

6.6. If Our pharmacists have any questions or concerns about the prescription(s), You hereby authorize them to consult with the prescribing Doctor or an external network of doctors about the validity and appropriateness of the prescription.

6.7. You acknowledge and accept that the order for a substitute drug or medication will be processed only if the prescribing Doctor/registered medical practitioner has explicitly permitted the dispensing of an equivalent generic drug or medication in place of the prescribed drug or medication on the original prescription and in accordance with applicable pharmacy regulations.

6.8. At asbalifecare.com, a Caregiver, guardian, or parent can order prescription medicines on behalf of a patient, and all the terms of this Agreement shall be applicable to such persons without any limitations. Such individuals may be required to provide proof of their relationship with and authorization to act on behalf of the patient.

7.1. Notwithstanding anything else contained in any other part of this Agreement, the listing of drugs and other pharmaceutical products on the Platform is merely an 'invitation to an offer for sale' and not an 'offer for sale'. The placement of an order by You shall constitute an offer to purchase, and the acceptance of the offer would only be undertaken after the validation/verification of the prescription (for prescription medicines) and the ascertainment of the available stock. asbalifecare.com may accept or decline any order placed in its absolute discretion. Your receipt of an order confirmation does not signify asbalifecare.com's acceptance of your offer. The contract of sale is formed only upon Our dispatch of the product(s) to You.

7.2. You understand and agree that all prescription drugs and medications will be dispensed by a registered pharmacist at asbalifecare.com and/or its affiliates, in compliance with applicable pharmacy laws. In the event the prescribed drugs or medications are not available with asbalifecare.com, asbalifecare.com reserves the right to direct such orders to its affiliates or other third-party service providers, and You provide your consent for the same. In such cases, the sale and dispensing are subject to the third-party service provider's terms and conditions.

7.3. The title to the products ordered by You shall immediately stand transferred to You upon the later of:

• (a) the dispensation of such products; and
• (b) the receipt of full payment against the order by asbalifecare.com. For products provided by other third-party service providers, the invoices for such sale will be issued by such third-party service providers and not by asbalifecare.com, and You agree and acknowledge that the Company shall not be liable for the products supplied by other third-party service providers.

7.4. You agree and acknowledge that the delivery of the order(s) shall be complete when the product(s) are received at the address provided by You on the Platform. You are responsible for ensuring the accuracy and completeness of the delivery address.

7.5. asbalifecare.com reserves the right to discontinue any program or offer on its Platform at any time without prior notice.

7.6. asbalifecare.com reserves the right, without prior notice, to limit the order quantity of any products available on the Platform.

7.7. You acknowledge and agree that You have fully and accurately disclosed your personal information and personal health information and consent to its use by the Company and/or its affiliates for the purpose of providing Services, as outlined in the Privacy Policy.

7.8. You confirm that if You are ordering prescription medicines, You have a valid prescription from a Doctor/registered medical practitioner.

7.9. If You are the patient/parent/authorized person on behalf of the patient, You authorize and appoint asbalifecare.com and/or its affiliates, as your attorney and agent, to take all steps, sign all documents, and to act on Your behalf as if You were personally present and acting for Yourself for the limited purposes of:

• (a) obtaining a valid prescription for any prescription which You have sent to asbalifecare.com (if deemed necessary by Our pharmacists for verification purposes); and
• (b) packaging your prescriptions, the orders, and delivering them to you. By placing the order, You hereby authorize asbalifecare.com and/or its affiliates to ship the order by post/courier to your registered address. This authorization shall include, but not be limited to, collecting and using your personal and personal health information as reasonably necessary for the fulfillment of your order. This clause shall be interpreted in compliance with applicable pharmacy regulations.

8.1. The access and browsing of the Platform are generally free of cost. asbalifecare.com reserves the right to modify its fee structure for certain Services in the future with prior notice.

8.2. For the purpose of this section, "Buyer" would include any User choosing to use the Services offered on the Platform. "Seller" means the Company/asbalifecare.com and its Platform.

8.3. While availing any of the payment methods available on the Platform, asbalifecare.com will not be responsible or assume any liability, whatsoever, in respect of any loss or damage arising directly or indirectly to you due to:

• Lack of authorization for any transaction(s), or
• Exceeding the pre-set limit mutually agreed upon by You and between 'Bank(s)', or
• Any payment issues arising out of the transaction, or
• Decline of transaction for any other reason(s).

8.4. All payments made against the Services on the Platform by You shall be compulsorily in Indian Rupees. The Platform will not facilitate transactions with respect to any other form of currency for orders placed on the Platform.

8.5. All our product prices include all applicable statutory taxes.

8.6. We make every effort to ensure that the pricing and availability of products on Our Platform are accurate and up to date. However, errors may occur. In such cases, We are not responsible for any typographical errors, inaccuracies in product descriptions, or errors related to product availability. We reserve the right to correct any such errors and to cancel any orders arising from such errors without any liability.

8.7. We reserve the right to correct any inaccuracies or omissions related to pricing and product availability/descriptions, even after You have submitted Your order, and to change or update any other information at any time without prior notice.

8.8. The delivery charges applicable to Your order will be displayed at the time of checkout. Delivery charges may vary depending on factors such as order value, delivery location, and the type of products ordered. The current delivery charges are as follows:

• Orders ₹1 - ₹999 → ₹100
• Free delivery on all orders above ₹1,000
• *Additional charges may apply for certain locations or product types.

8.9. The Company reserves the right to modify/alter the delivery charges at any time by providing the updated charges on the Platform, which shall be considered valid and agreed upon communication.

8.10. Delivery times are estimates and may vary depending on several factors, including but not limited to delivery location, type of product You order, and availability of the product with Us or our third-party partners. We will make reasonable efforts to deliver Your order within the estimated timeframe provided at the time of order confirmation.

8.11. To process the payment for Your order, asbalifecare.com may require Your financial and banking information such as bank account details, debit card number, credit card number, etc. You agree to provide accurate and complete financial information for purchase transactions.

8.12. You can make payments via any one of the following methods of payment: Wallets (e.g., Paytm, AmazonPay, PhonePe, UPI, GooglePay), Bank transfer (NEFT/RTGS/IMPS), all major debit and credit cards, Net Banking. Credit/Debit Card and Net Banking payments are processed via our secure online payment service partners.

9.1. While asbalifecare.com endeavors to ensure timely and efficient delivery of your orders, you acknowledge and agree that the actual shipping and delivery services are primarily fulfilled by third-party courier and logistics partners, including but not limited to Bluedart, DTDC, Xpressbees, EKart, Shadowfax, Ecom, SK Courier, and Delhivery.

9.2. asbalifecare.com undertakes reasonable efforts to select reliable third-party delivery partners. However, you understand and agree that asbalifecare.com shall not be held directly liable for any delays, losses, damages, or non-delivery of products that occur due to the actions or omissions of these third-party delivery partners.

9.3. Any issues or concerns regarding the shipping and delivery of your order, including but not limited to delays, damage during transit, or non-delivery, should be communicated to asbalifecare.com's customer support team. We will liaise with the respective third-party delivery partner to facilitate resolution to the best of our abilities. However, the ultimate responsibility and liability for the delivery services lie with the third-party provider as per their terms and conditions.

9.4. You may be subject to the terms and conditions of the third-party delivery partners, which may be provided to you separately or be available on their respective websites.

Refund Policy:

10.1. asbalifecare.com will offer a full refund under the following circumstances:

• You received a defective or damaged item (if reported within the stipulated time).
• The ordered item(s) is lost or damaged during transit (after due verification).
• The ordered item(s) is past its expiry date upon receipt.

10.2. The mode of refund may vary depending on the payment method used for the original transaction. Refunds will be processed within a reasonable timeframe, typically 7 to 10 working days for credit/debit card and net banking transactions, and within 24-48 hours for wallet payments. While We strive to process refunds promptly, the actual time taken for the refund to reflect in Your account may depend on Your bank or payment service provider.

How to Request a Refund:

10.3. To request a refund, You must notify Us via email at support@asbalifecare.com or raise a request through the designated section on our Website within 3 days of receiving the product(s), providing Your order details and the specific reason for the refund request. You may also be required to upload clear photographs or other evidence of the issue (e.g., damage, defect, expiry).

10.4. asbalifecare.com will verify the refund request within 3 working days from the time of receipt. Once the claim is verified as genuine and in accordance with this Refund Policy, asbalifecare.com will initiate the refund process. In cases of a refund, asbalifecare.com may also initiate a product collection process, in which case You will be required to pack the product(s) securely in the original manufacturer's packaging for collection.

Return Policy:

10.6. asbalifecare.com may accept returns of product(s) under the following circumstances:

• The product(s) received do not match Your order.
• The product(s) delivered are past the expiry date.
• The product(s) delivered are damaged in transit (if reported within the stipulated time).

10.7. If You receive a damaged product, You are advised not to accept the delivery. If, after opening the package, You discover that the product(s) is damaged, You must notify Us within 1 working day of receipt. Such damaged product(s) may be returned for a refund or replacement, subject to stock availability. If a replacement is not available, a refund will be offered.

10.8. asbalifecare.com will not accept liability for delivery issues (including damage) if You fail to notify Us within 1 working day of receipt. asbalifecare.com will facilitate the resolution of issues arising from damage or loss during transit with our third-party delivery partners. However, our liability for such issues is limited to the extent of our agreements with these partners.

10.9. For returns of non-defective, unopened, and unused products (excluding those listed under "Return Policy Exceptions"), We may, at our discretion, allow returns within 3 days of receipt, subject to a deduction of a 20% restocking fee. You must notify Us of such a return request within 3 days of receiving the product(s). asbalifecare.com will not accept returns if You fail to notify Us within this timeframe.

10.10. Returns are subject to the following conditions:

• Wrong ordering of product(s) by You does not qualify for returns.
• The batch number of the product(s) being returned should match the batch number mentioned on the original invoice.
• Returns arising from a change in prescription do not qualify for returns.
• The product(s) being returned must be in their original manufacturer's packaging, including all original price tags, labels, barcodes, and the original invoice.
• Partially used or consumed product(s) do not qualify for returns.

Return Policy Exceptions:

10.11. Certain categories of products are non-returnable due to hygiene, safety, or regulatory reasons. These include, but may not be limited to:

• Healthcare devices such as Injections, Surgical instruments, Health Monitors, Orthopedic Supports.
• Temperature-sensitive products (Cold Chain Products) that require specific storage conditions.
• Medicines for which a Patient Assistance Program has been utilized.
• Products marked as "Non-Returnable" on the respective product page.

10.12. asbalifecare.com does not offer replacements or exchanges for the above non-returnable products. asbalifecare.com reserves the right to refuse returns or refunds for certain products as marked on the respective product pages.

Return Process:

10.13. To request a return, You must notify Us via email at support@asbalifecare.com or raise a request through the designated section on our Website within the applicable timeframe (as mentioned above), providing Your order details and the specific reason for the return request. asbalifecare.com may require You to upload clear photographs or other evidence to support Your return request.

10.14. asbalifecare.com will verify the return request within 3 working days from the time of receipt. Once the claim is verified as genuine and in accordance with this Return Policy, asbalifecare.com will initiate the collection of the product(s) to be returned. You will be required to securely pack the product(s) in the original manufacturer's packaging.

10.16. You may cancel Your order for product(s) on the Platform within 12 hours of placing the order, provided the order has not yet been shipped. Once an order has been shipped, it cannot be cancelled.

10.17. In cases where asbalifecare.com is unable to accept the order due to reasons including but not limited to non-availability of the product or the quantity ordered by You, inaccuracies or errors in pricing information, or suspicion of fraudulent activity, asbalifecare.com reserves the right to cancel the order without any liability to the Company.

10.18. asbalifecare.com shall also have the right to cancel orders if it identifies, including but not limited to:

• Product(s) ordered are not for self-consumption but for commercial resale
• Multiple orders placed for the same product at the same address.
• Bulk quantities of the same product are ordered.
• Invalid or incomplete address provided in the order details.
• Any fraudulent or malpractices used to place the order.

12.1. The content on the Platform, including all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, design documents, and artwork, is Our content (hereinafter referred to as 'Content') or that of our licensors. The Platform may contain links to or content from third-party websites that are not associated with Us. We have no control over any third-party user-generated content as We are merely an intermediary for the purposes of such content. In the event that any of the third-party content infringes upon the intellectual property rights of any person, such third party shall be solely responsible for any loss caused without any liability to the Company. You may report any such content to us via email at support@asbalifecare.com.

12.2. Except as expressly allowed, any use of Our Content, including its reproduction, republication, uploading, posting, public display, encoding, translation, transmission, or distribution in any way (including "mirroring") to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without our express prior written consent, is strictly prohibited.

13.1. Any information, content, or material that You upload, post, transmit, or otherwise make available on the Platform ("User Content") will be considered non-confidential and non-proprietary. By submitting User Content, You grant Us a worldwide, perpetual, irrevocable, royalty-free, and transferable right to use, copy, distribute, modify, create derivative works of, display, and perform such User Content in connection with the Platform and Our business, including for promotional and advertising purposes, in any media whether now known or hereafter devised, without any payment or other compensation to You. You also grant Us the right to sub-license these rights and the right to bring an action for infringement of these rights. We reserve the right to edit or remove any User Content submitted to this Platform, stored on Our servers, or hosted or published upon this Platform at our sole discretion.

13.2. Users posting any form of User Content on the Platform must ensure the truthfulness and authenticity of the particulars of the content, including the time, place, and nature. Before allowing such content to be posted, We have the right and authority to verify the accuracy of such particulars with the respective sources provided by the user, if We deem it necessary. We have the right to upload content on behalf of third parties after collecting and verifying such information if We deem it necessary. 13.3.
